Preamble
These Terms of Service ("Terms") govern the contractual relationship between MagicMetrics S.r.l.s. ("MagicMetrics", "we") and private users who subscribe to the Magic Reports service ("Service") for personal use, not in the exercise of business, trade, or professional activities.
If you are purchasing in the exercise of professional or business activities, the B2B Terms of Service apply.
Please read these Terms carefully before proceeding with registration or purchase. By proceeding, you declare that you have fully read and accepted their content.
1. The Service
Magic Reports is a Google Sheets add-on that allows you to retrieve, display, and automatically update data from connected analytics sources (Google Analytics 4, Google Search Console, Google AdSense, YouTube Analytics, Google Ads, and other available connectors).
The Service is distinct from the free add-on GA4 Magic Reports, which is subject to its own separate terms.
MagicMetrics does not guarantee that the Service is suitable for any specific purpose of the user. It is the user's responsibility to verify that the Service meets their needs before subscribing.
2. Registration and Account
To access the Service, you must create an account on magicmetrics.ai by providing accurate, complete, and up-to-date information. You are responsible for keeping your login credentials confidential and for all activities carried out through your account.
MagicMetrics reserves the right to suspend or close accounts that have been inactive for more than 24 consecutive months, with 60 days' prior notice by email.
3. Free Trial Period
Every new account is entitled to a 14-day free trial period ("Trial"), during which you can access the features of the selected plan at no charge.
The Trial: does not require payment details to be activated, unless otherwise indicated at the time of registration; does not automatically renew upon expiry; ends automatically after 14 days with no charge; can be converted into a paid subscription at any time during the trial period.
Upon expiry of the Trial without conversion to a paid subscription, access to paid features is automatically suspended. Account configuration data is retained for 90 days, after which it is permanently deleted.
Early conversion: Conversion from Trial to a paid subscription takes effect immediately from the date of purchase. Any remaining Trial period at the time of purchase is not accumulated, transferred, or refunded. The first billing period starts from the date of purchase, regardless of unused Trial days.
4. Plans and Pricing
The Service is available in the following paid plans: Basic (core features, limited number of connections), Growth (advanced features, additional connections, more frequent updates), Agency (full features, multiple connections, high-frequency updates), Custom (personalised plan agreed in writing with MagicMetrics).
Up-to-date details of each plan (features, limits, pricing) are available at magicmetrics.ai/pricing. MagicMetrics reserves the right to change prices with 30 days' notice by email.
5. Subscription and Automatic Renewal
5.1 Subscription. By selecting a paid plan and completing the purchase process, you subscribe to an automatically renewing subscription ("Subscription"). The contract is deemed concluded upon payment confirmation by Stripe.
5.2 Automatic renewal. The Subscription automatically renews at the end of each period (monthly or annual) for an equal period, unless explicitly cancelled by the user within the terms set out in point 5.4. Renewal occurs by automatically charging the registered payment method at the price in force at the time of renewal. You will receive an email notification at least 7 days before the renewal date for monthly subscriptions and at least 60 days before for annual subscriptions.
5.3 Price at renewal. MagicMetrics reserves the right to adjust the Subscription price at renewal. Any price change will be communicated by email at least 30 days before the renewal date. If you do not cancel the Subscription within the terms set out in point 5.4, the price change is deemed accepted.
5.4 Cancellation. You may cancel the Subscription at any time from your dashboard, under "Subscription". For monthly subscriptions, cancellation must be completed by 23:59 (Italian time) on the 7th day before the renewal date. For annual subscriptions, by 23:59 (Italian time) on the 60th day before the renewal date. Cancellation made within the deadline prevents the next automatic renewal. Access to the Service remains active until the end of the already paid period. Cancellation made after the deadline does not prevent automatic renewal for the next period. In that case, no refund is provided for the remaining period, except as provided in points 5.5 and 6.
5.5 Refund for missed notice. If MagicMetrics fails to send the renewal notification within the terms set out in point 5.2, you are entitled to a full refund of the amount charged for the renewal period, provided the refund request is submitted within 14 days of the charge by writing to legal@magicmetrics.ai.
5.6 Data after Subscription termination. Upon termination of access to the Service due to cancellation, withdrawal, or termination of the Subscription, account configuration data (settings, configured connectors, saved templates) is retained for 90 days, after which it is permanently deleted, unless otherwise required by law. During this period the user may request reactivation of the Subscription to recover access to such configurations, or request their export, where technically available through the Service's features. It is understood that, given the Service's client-side architecture, analytics data retrieved from the sources connected by the user (GA4, Search Console, AdSense, YouTube, and other direct connectors) does not transit through or get stored on MagicMetrics servers, and is therefore not subject to any backup or recovery procedure by MagicMetrics. The user is responsible for independently preserving their own Google Sheets and the data contained therein.
6. Right of Withdrawal (Consumers)
Pursuant to Arts. 52 et seq. of Italian Legislative Decree 206/2005 (Consumer Code), users acting as consumers have the right to withdraw from the contract within 14 days of its conclusion, without providing any reason.
Exception: the right of withdrawal does not apply if the user has expressly requested the immediate start of the Service and has acknowledged that exercising the right of withdrawal after full performance of the contract results in the loss of such right, pursuant to Art. 59, paragraph 1, letters a) and o) of the Consumer Code.
To exercise the right of withdrawal, you must send an explicit declaration to legal@magicmetrics.ai within the stated deadline. MagicMetrics will refund the amount paid within 14 days of receiving the withdrawal declaration, using the same payment method used for the purchase.
7. Payment Method and Failed Charges
Payments are processed by Stripe Inc., PCI-DSS certified. MagicMetrics does not store or view your credit card details.
In the event of a failed charge for any reason (expired card, insufficient funds, etc.), MagicMetrics notifies you by email and retries the charge up to 3 times within 7 days. If the issue is not resolved within 7 days of the first notification, access to the Service is suspended. If the issue is not resolved within 30 days of suspension, the contract is deemed terminated for non-performance.
8. Usage Limits
Each plan includes specific limits on the number of active connections, automatic update frequency, and number of executions. Exceeding the limits results in suspension of the excess features until the period renews or the plan is upgraded.
You must comply with the Acceptable Use Policy available at magicmetrics.ai/aup, which forms an integral part of these Terms.
9. Intellectual Property
MagicMetrics holds all intellectual property rights relating to the Service, including software, design, documentation, and trademarks. These Terms do not transfer any intellectual property rights over the Service to the user.
Analytics data retrieved through the Service from the user's connected sources remains the exclusive property of the user or the respective owners. MagicMetrics claims no rights over such data.
10. Service Availability and Limitation of Liability
10.1 Availability. MagicMetrics endeavours to ensure maximum availability of the authentication and subscription verification endpoint. No specific minimum uptime level is guaranteed.
10.2 Dependency on third-party services. The Service depends on third-party infrastructure and APIs (Google Sheets, Google Analytics, Google Search Console, YouTube, AdSense, Google Ads, Google Cloud Platform). For direct connectors (GA4, Search Console, AdSense, YouTube), data does not pass through MagicMetrics servers but is exchanged directly between the user's Google Sheets and Google's servers. MagicMetrics is not responsible for outages, malfunctions, changes, or limitations imposed by such third-party services.
10.3 Limitation of liability. To the extent permitted by applicable consumer protection law, MagicMetrics is not liable for: malfunctions caused by third-party services (Google APIs, Stripe, Google Cloud); loss of data caused by errors in the user's connected data sources; decisions made based on data viewed through the Service; indirect or consequential damages. The limitations in this article do not affect the mandatory rights recognised by Italian consumer protection law.
10.4 Force majeure. MagicMetrics is not liable for delays, malfunctions, or interruptions of the Service caused by circumstances beyond its reasonable control, including, by way of example, failures of third-party infrastructure, internet connectivity interruptions, cyberattacks, natural events, actions by public authorities, or other exceptional and unforeseeable circumstances. This is without prejudice to any mandatory rights granted to consumers under applicable law.
11. Account Suspension and Termination
MagicMetrics may suspend or close your account in the event of: violation of these Terms or the Acceptable Use Policy; non-payment; fraudulent or abusive conduct. In the event of a serious violation, suspension may be immediate. In all other cases, MagicMetrics provides 15 days' notice by email, during which the user may remedy the violation.
12. Confidentiality
Each party undertakes to keep confidential any technical, commercial, or organizational information about the other party that it becomes aware of in connection with the conclusion or performance of this contract, and to use such information solely for the purposes of the Service.
This obligation does not apply to information that is or becomes publicly available without breach of this article, that was already lawfully known to the receiving party, or that must be disclosed by law or by order of a competent authority.
The confidentiality obligation remains in effect for the duration of the contract and for two years after its termination.
13. Assignment of the contract
MagicMetrics may assign this contract, in whole or in part, to parent, subsidiary, or affiliated companies, or to third parties acquiring the business or business unit related to the Service, by giving the user at least 30 days' notice. In such case, the user has the right to terminate the contract without penalty within that period, if the assignment results in a worsening of the contractual conditions.
The user may not assign this contract to third parties without the prior written consent of MagicMetrics.
14. Survival of individual clauses
Clauses that, by their nature, are intended to remain effective after termination of the contract, including those relating to intellectual property, confidentiality, limitation of liability, governing law, and competent court, remain effective after termination of the contract for any reason.
15. Changes to the Terms
MagicMetrics reserves the right to modify these Terms. Material changes are communicated by email with at least 30 days' notice. Continued use of the Service after the effective date of the changes constitutes acceptance. If you do not accept the changes, you have the right to withdraw from the contract without penalty within the notice period.
16. Governing Law and Dispute Resolution
These Terms are governed by Italian law. For any dispute with consumer users, the court of the consumer's place of residence or domicile is competent, pursuant to Art. 66-bis of the Consumer Code.
